Terms & Conditions

Governing use of Giftm Platform, Marketplace & Services

Effective Date: 1st June 2025

This document is an electronic record under the Information Technology Act, 2000 and the rules made thereunder. It does not require any physical or digital signature. This document is published in accordance with Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

1. Introduction & Acceptance

Welcome to Giftm (www.giftm.in and www.giftm.ai), a digital gift card, loyalty, and rewards platform owned and operated by Giftm Technology Private Limited ("Giftm", "we", "us", "our"), a company incorporated under the Companies Act, 2013, with its registered office at 39/4 40/1B, Flat No. 801, Floor 8, Wing B, Kavya Residency-B, Kasarvadavali Village Boriwade, G.B. Road, Opp. Municipal Garden, Thane (W) — 400615, Maharashtra, India.

These Terms & Conditions ("Terms") govern your access to and use of the Giftm platform, including the Giftm Marketplace (giftm.ai), mobile applications (iOS and Android), APIs, and all associated services including Gift Card issuance and management, Loyalty Programs, Employee Reward & Recognition programs, Bank Reward Programs, B2B and B2C transactions, and Redemption services (collectively, "Services").

By accessing, registering on, browsing, downloading, or using the Platform, you confirm that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into a binding contract under the Indian Contract Act, 1872; (c) you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and Grievance Policy (collectively, the "Agreement"); and (d) you are not accessing the Platform from a jurisdiction where such use would be prohibited. If you do not agree with any part of this Agreement, please immediately discontinue all use of the Platform.

2. Definitions

In these Terms, the following definitions apply:

  • "Platform" means giftm.in, giftm.ai, and all Giftm mobile applications collectively.
  • "Marketplace" means the Giftm.ai digital marketplace for gift cards and reward vouchers.
  • "Gift Card / Voucher" means a prepaid digital or physical instrument issued on the Platform.
  • "Loyalty Program" means any earn-and-redeem rewards programme administered through Giftm for banks, corporates, or brands.
  • "B2B Client" means a corporate, bank, or institutional entity that procures Services under a commercial agreement.
  • "B2C User" means an individual end-user accessing the Platform for personal use.
  • "Redemption" means the process by which a Gift Card or reward point is exchanged for goods, services, or currency.
  • "KYB" means Know Your Business — the identity verification process for B2B Clients.
  • "PPI" means Prepaid Payment Instrument as defined under RBI Master Directions for PPI Issuers.

3. Eligibility & Account Registration

The Platform is available to individuals who are at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. Minors may use gift cards or redeem rewards only under the supervision of a parent or guardian.

To access certain features, you must register an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Notify us immediately at support@giftm.ai of any unauthorised access.

For B2B Clients, account activation is subject to successful completion of the KYB process as described in Section 4.

4. KYB — Know Your Business

Giftm is committed to maintaining a risk-free business ecosystem. All B2B Clients must complete KYB verification before accessing bulk procurement, API integration, or Loyalty Program administration features.

KYB requires submission of: Certificate of Incorporation, GST Registration, PAN card of the entity, Authorised signatory identity proof, and beneficial ownership declaration (individuals owning ≥25% directly or indirectly).

Giftm will not engage with entities that are terrorist organisations, involved in narcotics or money laundering, anonymous shell companies, or entities on any applicable sanctions list. Giftm reserves the right to terminate access if KYB information is found to be inaccurate or misleading at any time.

5. Gift Cards & Vouchers

5.1 Issuance

Gift Cards are issued by Giftm Technology Private Limited in compliance with RBI Master Directions for Prepaid Payment Instruments (PPI). Each Gift Card has a specified face value, currency (INR by default), validity period, and terms of use specific to the brand or programme.

5.2 Validity

The validity period of each Gift Card is stated on the Card or in the order confirmation. Giftm is not liable for Cards that expire unused. No cash back is payable on unused balances unless mandated by applicable law.

5.3 Non-Transferability

Gift Cards are non-transferable unless explicitly permitted by the issuing programme. Sale, barter, or exchange of Gift Cards for cash outside the Platform is prohibited.

5.4 Lost or Stolen Cards

Giftm is not responsible for lost, stolen, or fraudulently used Gift Cards where the loss is attributable to the user. Users must report suspected misuse immediately to grievance@giftm.ai. Refer to Section 16 (Liability in Unauthorised Transactions) for liability thresholds.

6. Loyalty Programs

Giftm administers Loyalty Programs on behalf of banks, corporates, and brands ("Program Sponsors"). The specific earn and burn ratios, eligible transactions, reward catalogue, and programme rules are defined by the Program Sponsor and communicated to participants separately.

Giftm acts as a technology and fulfilment partner; the Program Sponsor is responsible for the programme design and member benefits. Giftm is not liable for changes made by a Program Sponsor to programme benefits, point valuations, or catalogue availability.

Points earned under a Loyalty Program are not cash equivalents, cannot be withdrawn as money, and are subject to expiry as specified in the programme rules. Points cannot be transferred between accounts unless specifically permitted.

7. Employee Reward & Recognition Programs

Giftm provides Employee Reward & Recognition (R&R) solutions to corporate clients. Under R&R programmes, employees may receive reward points, gift vouchers, or incentive payouts administered through the Giftm platform on behalf of their employer.

The employer (B2B Client) is responsible for determining eligibility, award values, tax treatment under applicable income tax laws (including perquisite taxation), and compliance with internal HR policies. Giftm is not responsible for any tax liability arising from rewards received by employees.

Giftm will issue tax documentation (TDS certificates or Form 16A, where applicable) as required under Indian law, provided the employer has provided accurate employee PAN details.

8. Bank Reward Programs

Giftm partners with banks and financial institutions to power credit card reward programmes, debit card cashback initiatives, and co-branded loyalty schemes. The terms of each Bank Reward Program are governed by the agreement between Giftm and the respective bank.

Bank customers participating in such programmes are subject to these Terms as well as the specific programme terms communicated by their bank. Giftm's liability is limited to the technology platform and fulfilment layer; the bank is responsible for programme eligibility, point credits, and customer communications.

9. Marketplace — Giftm.ai

The Giftm Marketplace (giftm.ai) is a digital platform where users may purchase, gift, and redeem vouchers across a curated brand catalogue. The Marketplace operates on both B2B (bulk procurement, API) and B2C (retail) channels.

Giftm acts as an intermediary between buyers and brand/merchant partners. The terms of use of the underlying brand voucher are set by the respective brand and are binding on the user upon purchase. Giftm is not the merchant of record for the goods or services represented by third-party brand vouchers.

All purchases on the Marketplace are subject to availability. Giftm reserves the right to delist any voucher at any time without notice. In the event a listed voucher is unavailable after payment, a full refund will be issued to the original payment instrument within 7 working days.

10. Payments

All payments on the Giftm Platform are processed in Indian Rupees (INR) unless otherwise stated for specific international programmes. Payments may be made via credit card, debit card, net banking, UPI, and digital wallets as available at checkout. All payments are collected by Giftm Technology Private Limited.

For B2B Clients, payment terms are governed by the applicable commercial agreement or Purchase Order. In the absence of a separate agreement, payments are due in advance. Giftm will issue GST-compliant tax invoices under the name Giftm Technology Private Limited. The invoice will carry Giftm's GSTIN, registered address, and company details.

Giftm does not store your payment card details. All card processing is handled by PCI-DSS compliant payment gateway partners.

11. Refund & Cancellation Policy

11.1 Voucher Cancellations

A voucher purchased on the Marketplace may be cancelled and a full refund issued within 30 (thirty) minutes of purchase, provided it has not been viewed, redeemed, or delivered to the intended recipient. Cancellation requests must be raised through the Giftm platform under My Orders.

Once a voucher has been delivered or its PIN/code has been revealed, cancellation will not be accepted. For programmatic/API purchases under a B2B agreement, the cancellation terms specified in the commercial agreement shall apply.

12. GST & Taxation

All prices are exclusive of Goods and Services Tax (GST) unless explicitly stated. GST will be charged at the applicable rate based on the HSN/SAC code of the product or service. Tax invoices will be issued by Giftm Technology Private Limited bearing its GSTIN and registered address.

B2B Clients wishing to claim Input Tax Credit (ITC) must provide a valid GSTIN at the time of ordering. Giftm is not responsible for ITC disallowances arising from incorrect GSTIN or mismatched details. For Employee R&R programmes, the tax treatment of rewards in the hands of employees is governed by the Income Tax Act, 1961 and is the responsibility of the employer.

13. Intellectual Property

All content on the Giftm Platform, including brand name, logo, marketplace design, platform architecture, APIs, data models, templates, and documentation, is the exclusive intellectual property of Giftm Technology Private Limited and/or its licensors.

The name "Giftm", the Giftm logo, and associated marks are trademarks of Giftm Technology Private Limited. Unauthorised use of these marks is prohibited. B2B Clients are granted a limited, non-exclusive, non-transferable licence to use Giftm's API and platform solely for the purposes specified in their commercial agreement.

You may not reproduce, distribute, reverse-engineer, or create derivative works from any Giftm intellectual property without express written consent.

14. Acceptable Use & Prohibited Conduct

You agree not to use the Platform for any of the following:

  • Fraudulent transactions, money laundering, or financing of illegal activities;
  • Resale of Gift Cards or vouchers for cash or at a premium outside the Platform;
  • Reverse engineering, scraping, or unauthorised access to Giftm systems or APIs;
  • Uploading malware, viruses, or any code designed to disrupt the Platform;
  • Impersonation of any person or entity, or misrepresentation of affiliation;
  • Circumventing any security, access control, or fraud prevention mechanism;
  • Using the Platform to conduct or promote pyramid schemes, chain letters, or unsolicited marketing;
  • Any activity that violates applicable Indian law or these Terms.

Giftm reserves the right to immediately suspend or terminate accounts found in violation of these provisions and to report suspected illegal activity to relevant authorities.

15. Account Suspension & Appeal

Giftm may suspend or terminate your account at its sole discretion, including for violation of these Terms, KYB failure, fraudulent activity, or regulatory direction. Where an account is suspended, you will receive notification to your registered email or mobile number.

You may submit an appeal to grievance@giftm.ai within 15 (fifteen) days of suspension. Giftm will review and respond within 10 (ten) working days. During the appeal period, access to the Platform may remain restricted. Giftm's decision on appeals shall be final, subject to applicable law.

17. Confidentiality & Data Security

Giftm processes personal data in accordance with its Privacy Policy and the Digital Personal Data Protection Act, 2023 (DPDPA). Giftm maintains ISO 27001-aligned information security practices and processes. All data is stored on secure, encrypted servers hosted within India or with appropriate international transfer safeguards.

By providing your mobile number and email, you consent to receiving transactional SMS, WhatsApp, and email notifications related to your orders, rewards, and account. You may opt out of non-transactional communications at any time through your account settings or by writing to support@giftm.ai.

18. Disclaimer of Warranties & Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Giftm does not warrant that the Platform will be error-free, uninterrupted, or free from viruses. Giftm is not responsible for the quality, fitness, or availability of third-party brand vouchers listed on the Marketplace.

To the maximum extent permitted by applicable law, Giftm's total liability for any claim arising from use of the Platform shall not exceed the value of the transaction giving rise to the claim, or INR 10,000 (whichever is lower). Giftm shall not be liable for indirect, consequential, incidental, punitive, or special damages.

19. Indemnification

You agree to indemnify, defend, and hold harmless Giftm Technology Private Limited, its directors, officers, employees, agents, and partners from all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of applicable law; (c) content or data submitted by you on the Platform; or (d) any third-party claim arising from your use of the Services.

20. Physical Gift Card Printing & Shipping

Giftm offers physical gift card printing services on a demand basis ("Print-on-Demand") for B2B Clients and B2C Users who require printed gift cards, reward vouchers, or personalised cards to be shipped to a specified address ("Print Orders").

20.1 Order Placement & Artwork

Print Orders must be placed through the Giftm platform or by contacting sales@giftm.in for bulk B2B requirements. You are responsible for providing print-ready artwork, logo, and content in the format specified on the platform (minimum 300 DPI, accepted formats: PDF, AI, PNG, JPEG). Giftm will provide a digital proof within 2 (two) business days of artwork submission. You must approve or request revisions within 48 (forty-eight) hours of receiving the digital proof. Failure to respond will be deemed as approval and production will commence.

20.2 Production Timelines

Standard Print Orders are typically produced within 3–5 business days of artwork approval, subject to print quantity and complexity. Bulk orders (above 500 units) may require 7–10 business days. Giftm will communicate estimated production timelines at the time of order confirmation. Production timelines may be affected by supply constraints, courier availability, or force majeure events.

20.3 Shipping & Delivery

Giftm ships physical print orders across India and internationally through authorised courier partners including but not limited to Delhivery, Blue Dart, FedEx, and DHL. Shipping charges will be calculated based on order weight, dimensions, quantity, and delivery pin code, and will be displayed at checkout or quoted in the B2B invoice.

Estimated delivery timelines are as follows:

  • Domestic (India) — Standard: 5–9 business days from dispatch
  • Domestic (India) — Express: 2–3 business days from dispatch (select pin codes)
  • International — Standard: 10–20 business days depending on destination country
  • International — Express: 5–10 business days (available for select countries)

All delivery timelines are indicative and may vary. Giftm shall not be liable for delays caused by courier partners, customs clearance, or factors beyond its reasonable control.

20.4 Customs & Import Duties (International Shipments)

For international Print Orders, the recipient is solely responsible for all applicable customs duties, import taxes, and clearance charges levied by the destination country. Giftm will declare the accurate commercial value of the shipment on customs documentation. Giftm is not responsible for delays or seizures caused by customs authorities. Any costs arising from customs holds, returns, or re-exports are the responsibility of the customer.

20.5 Tracking & Delivery Confirmation

A shipment tracking number will be shared via email (to the registered email address) or SMS within 24 hours of dispatch. You may track your order through the courier partner's website or through the Giftm platform. Giftm will consider a shipment delivered upon the courier partner's confirmation of delivery. If you believe a shipment has not been received, you must raise a complaint to ops@giftm.ai within 5 (five) business days of the expected delivery date.

20.6 Cancellation of Print Orders

Print Orders may be cancelled within 30 (thirty) minutes of placement, provided that artwork has not yet been submitted or production has not commenced. Cancellations must be requested through the Giftm platform under My Orders or by contacting ops@giftm.ai. Once production has commenced, cancellation will not be accepted and no refund will be issued for production costs. For B2B bulk Print Orders placed under a Purchase Order, cancellation terms specified in the applicable commercial agreement shall govern.

20.7 Returns & Damaged Goods

If physical gift cards or printed materials are received in a damaged or defective condition, you must notify Giftm at support@giftm.ai with photographic evidence within 48 (forty-eight) hours of delivery. Giftm will, at its sole discretion, either re-print and re-ship the affected cards or issue a credit note. Giftm will not accept returns for cards that have already been distributed, activated, or redeemed. Returns due to incorrect address provided by the customer are not eligible for a refund of shipping charges.

20.8 Quality & Specifications

Giftm uses industry-standard printing processes and materials. Minor colour variations between digital proofs and physical output are inherent to the printing process and do not constitute a defect. Giftm is not responsible for errors in content (text, artwork, card values) approved by the customer in the digital proof. Please review all proofs carefully before approving.

21. Mobile Application Terms

Giftm may make mobile applications available for iOS and Android devices to access the Platform, manage rewards, track orders, and redeem vouchers ("Giftm App"). By downloading or using the Giftm App, you agree to these Terms in addition to the applicable terms of the App Store from which you downloaded the application.

21.1 iOS Application (Apple App Store)

Your use of the Giftm iOS App must comply with Apple's then-current App Store Terms of Service. These Terms are between you and Giftm Technology Private Limited only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Giftm App or its content. Apple has no obligation to provide maintenance or support for the Giftm App. To the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the Giftm App. You represent that you are not located in a country subject to a US Government embargo or designated as a terrorist-supporting country, and are not on any US Government prohibited parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS App and may enforce them against you.

21.2 Android Application (Google Play Store)

Your use of the Giftm Android App must comply with Google's then-current Google Play Terms of Service. These Terms are between you and Giftm only, and not with Google LLC ("Google"). Google is a provider of the Play Store only; Giftm is solely responsible for the Android App and its content. Google has no obligation or liability with respect to the Giftm Android App or these Terms.

21.3 General App Terms

Giftm grants you a limited, non-exclusive, non-transferable, revocable licence to use the Giftm App on a single registered device for personal or authorised business use. You agree not to: (i) reverse-engineer, decompile, or disassemble the App; (ii) rent, lease, or sublicense the App; (iii) remove security or copyright notices; (iv) use the App for any unlawful purpose. Standard mobile data charges may apply.

22. AI Features & Chatbot Disclosure

The Giftm platform and Giftm App may incorporate artificial intelligence (AI) powered features including chatbots, virtual assistants, smart search, and automated recommendation engines ("AI Features"). When interacting with AI Features, you may be engaging with an automated system and not a human representative. Giftm will disclose the use of AI or chatbots to the extent required by applicable law.

AI Feature interactions may be monitored, recorded, and used to improve the Platform and train AI models, subject to our Privacy Policy. Do not share sensitive personal information (Aadhaar, PAN, card numbers, passwords) in AI chat sessions. Giftm does not guarantee the accuracy of AI-generated responses and recommends verification for critical decisions. For formal complaints or escalations, please use the Grievance channels specified in Section 37.

23. Fraud & Risk Management

Giftm employs advanced fraud detection and risk management systems to protect users, merchants, and the platform. The following activities are considered fraudulent and will result in immediate account suspension, order cancellation, and potential reporting to law enforcement authorities:

  • Purchasing, using, or distributing gift cards obtained through fraudulent means including stolen payment instruments
  • Creating multiple accounts to exploit promotional offers, cashback, or loyalty rewards
  • Reselling gift cards or vouchers at a premium outside the authorised Giftm platform
  • Attempting to clone, counterfeit, or replicate physical gift cards
  • Using automated bots or scripts to manipulate purchases, redemptions, or reward balances
  • Providing false KYB documentation or misrepresenting business identity
  • Exploiting technical errors or price glitches to obtain undue benefit

Giftm reserves the right to place holds on suspicious transactions pending investigation, void fraudulently obtained balances without refund, and permanently ban accounts found engaged in fraud. Claims submitted for fraudulent transactions will be rejected. Users are requested to immediately report suspected fraud or security concerns to security@giftm.ai.

24. Vendor & Brand Partner Obligations

Giftm operates as a technology platform and marketplace intermediary. Vendors, brands, and merchant partners ("Vendors") listed on the Giftm Marketplace are independent third parties. Each Vendor is solely responsible for the quality, availability, and terms of their goods and services, and for honouring the gift cards or vouchers they issue.

Giftm does not warrant the quality, fitness, or availability of Vendor products or services. In the event that a Vendor fails to honour a gift card or voucher, Giftm will make reasonable efforts to facilitate resolution but shall not be liable for the Vendor's failure. Users experiencing issues with Vendor fulfilment should contact support@giftm.ai. Giftm reserves the right to delist any Vendor that repeatedly fails to honour its obligations.

Brand partners wishing to list their gift cards or vouchers on the Giftm Marketplace must execute a Vendor Agreement with Giftm Technology Private Limited and are subject to the onboarding standards communicated by vendor@giftm.ai.

25. User Generated Content

The Giftm Platform may allow users to submit reviews, ratings, comments, images, or other content ("User Content") in connection with gift cards, vendors, or loyalty programmes. By submitting User Content, you grant Giftm a royalty-free, perpetual, irrevocable, non-exclusive, worldwide licence to use, reproduce, adapt, publish, translate, distribute, and display such content for platform operations, marketing, and quality improvement purposes.

You represent that your User Content: (i) is original and does not infringe any third-party rights; (ii) does not contain false, defamatory, obscene, or illegal material; (iii) does not include personal information of third parties without their consent. Giftm reserves the right to remove any User Content at its sole discretion without notice. You will not be compensated for User Content submitted.

26. Sales Incentive & Commission Programmes

Giftm may offer or administer Sales Incentive and Commission Programmes on behalf of B2B Clients for their sales teams, channel partners, or distributors. Under such programmes, participants may earn reward points, gift vouchers, or cash incentives based on performance metrics defined by the sponsoring B2B Client.

The specific eligibility criteria, performance targets, payout structures, and programme rules are defined by the B2B Client and communicated to participants through the programme portal or documentation. Giftm acts as the technology and fulfilment platform; the B2B Client is responsible for the accuracy of performance data and incentive calculations. Any disputes regarding incentive entitlements must first be raised with the B2B Client. Giftm's role is limited to processing and disbursing rewards as instructed by the B2B Client.

Tax treatment of sales incentives received by participants is governed by applicable income tax law. Participants are advised to consult their tax advisors. Giftm will issue TDS certificates where applicable, provided accurate PAN details are furnished.

27. Copyright Infringement & DMCA Reporting

Giftm respects the intellectual property rights of others. If you believe that content on the Giftm Platform infringes your copyright or trademark, please submit a written notice to compliance@giftm.ai containing:

  • A physical or electronic signature of the authorised copyright or trademark owner or their agent
  • Identification of the copyrighted or trademarked work claimed to have been infringed
  • Identification of the material on the Giftm Platform claimed to be infringing, with sufficient detail to locate it
  • Your contact information (name, address, phone number, and email address)
  • A statement that you have a good faith belief that the use is not authorised by the rights holder, its agent, or law
  • A statement under penalty of perjury that the information in the notice is accurate and you are authorised to act on behalf of the rights holder

Upon receipt of a valid infringement notice, Giftm will take appropriate action including removal or disabling of the infringing content. Repeat infringers will have their accounts terminated. Giftm will not be liable for any content removed in good faith pursuant to a valid infringement notice. If you believe your content was wrongly removed, you may submit a counter-notice to compliance@giftm.ai.

28. Electronic Record

This document is an electronic record generated by a computer system and does not require any physical or digital signatures. This electronic record is published in accordance with the provisions of the Information Technology Act, 2000 and the rules made thereunder, as applicable and as amended from time to time. These Terms & Conditions constitute a legally binding agreement between you and Giftm Technology Private Limited. By accessing, registering on, browsing, downloading or using the Platform, you signify your unconditional acceptance of these Terms and all documents and policies incorporated herein by reference.

In the event of any conflict or inconsistency between the English version of these Terms and any translated version, the English version shall prevail to the extent of such conflict.

29. PPI Classification, RBI Compliance & KYC/KYB Disclosure

29.1 Classification of Gift Cards

Gift Cards issued by Giftm Technology Private Limited are classified as Semi-Closed Prepaid Payment Instruments (Semi-Closed PPIs) under the Reserve Bank of India Master Directions for Prepaid Payment Instruments (RBI/DPSS/2017-18/58 as updated from time to time). Semi-Closed PPIs can be used for purchase of goods and services at a group of clearly identified merchant locations or establishments which have a specific contract with the issuer to accept the instruments as payment. Semi-Closed PPIs do not permit cash withdrawals.

Certain branded or co-branded gift cards issued on the Giftm platform may be classified as Closed System PPIs, which are issued by specific merchants or brands for use only at their own outlets or platforms and are not regulated by RBI as payment instruments. The classification applicable to each Gift Card will be clearly specified on the product page and in the applicable Gift Card terms.

29.2 RBI KYC/KYB Sharing Obligation

Giftm may be required by applicable law, RBI guidelines, Financial Intelligence Unit-India (FIU-IND), or other statutory or regulatory authorities to share KYC (Know Your Customer) details of users or KYB (Know Your Business) details of B2B Clients, including identity documents, PAN, Aadhaar, beneficial ownership information, and transaction records. By using the Platform, you expressly consent to such disclosure as required by applicable law.

Giftm may also contact you to fulfill regulatory KYC/KYB requirements including re-KYC obligations, enhanced due diligence, or FATF-mandated screening. Failure to provide requested KYC/KYB information within the stipulated time may result in suspension of your account and withholding of balances pending regulatory clearance.

29.3 Gift Card Balance Rules

Gift Card balances may only be used for purchase of eligible goods and services on the Giftm platform or at authorised merchant partners. Any unused Gift Card balance will remain associated with your account subject to the validity period. Where multiple Gift Cards with different expiry dates are applied to a transaction, the balance with the earliest expiry date will be consumed first. Gift Card balances may not be transferred to another user account, converted to cash, or withdrawn to a bank account unless expressly permitted by applicable RBI guidelines. In the event of order cancellation, the Gift Card amount will be refunded to the source Gift Card.

30. Communication Policy

By registering on the Giftm platform and accepting these Terms, you consent to receive communications from Giftm including: (a) transactional alerts via SMS, email, and push notifications regarding your orders, redemptions, rewards, and account activity; (b) service announcements and platform updates; (c) promotional and marketing communications where you have provided explicit consent. You may opt out of marketing communications at any time through your account settings or by writing to support@giftm.ai.

Giftm will use best efforts to deliver alerts via SMS, email, and push notifications. However, Giftm shall not be liable for non-delivery, delayed delivery, or distortion of any alert due to factors including mobile network unavailability, email server failures, or device notification settings. You are responsible for ensuring your registered contact details are current and accurate. Giftm shall not be responsible for loss or inconvenience arising from alerts sent to incorrect or outdated contact information.

You acknowledge that SMS delivery depends on your mobile network operator and device status. Email delivery depends on your email provider and spam filters. Push notifications require the Giftm App to be installed and notifications to be enabled. Giftm is not responsible for any communication interception, loss, or delay arising from third-party service provider failures.

For DND (Do Not Disturb) registered numbers, Giftm will send only transactional messages as permitted by TRAI regulations. You may register for DND services through your telecom service provider, the TRAI DND App, or by calling/SMSing 1909.

31. Promotions, Offers & Taxation

31.1 Promotional Offers

Giftm may, at its sole discretion, offer promotional benefits including cashback, bonus reward points, referral bonuses, contest prizes, and limited-time discounts on the Platform or specific programmes ("Offers"). All Offers are subject to specific terms communicated at the time of the Offer. Giftm reserves the right to modify, suspend, or withdraw any Offer at any time without prior notice. Participation in Offers is voluntary and on a best-effort basis.

Giftm reserves the right to disqualify any user suspected of misusing Offers, creating multiple accounts to avail promotional benefits, or acting in bad faith. Any benefit availed through such misuse may be reversed and the account may be suspended.

31.2 Taxation of Rewards, Prizes & Incentives

All taxes, duties, levies, TDS (Tax Deducted at Source), and other statutory dues payable in connection with rewards, prizes, cashback, or incentives received through the Giftm Platform shall be borne exclusively by the recipient. Where Giftm is required to deduct TDS under Section 194B, 194R, or other applicable provisions of the Income Tax Act, 1961, it will do so and issue the relevant TDS certificate (Form 16A or Form 26QB as applicable) to the recipient, provided accurate PAN details have been furnished.

Recipients are responsible for declaring rewards, prizes, and incentives received through the Platform in their own income tax returns as required under applicable law. Giftm is not liable for any tax liability arising in the hands of the recipient. For Employee R&R and Bank Reward Programmes, the employer or bank (as applicable) is responsible for perquisite tax computation and compliance under applicable income tax rules.

32. Age Policy & Protection of Minors

The Giftm Platform and Services are available only to individuals who are 18 years of age or above. Persons under 18 years of age ("Minors") may use Gift Cards or redeem rewards only under the direct supervision of a parent or legal guardian who accepts these Terms on their behalf.

Persons under 13 years of age are strictly prohibited from accessing, registering on, or using the Platform under any circumstances, including with parental supervision. Giftm does not knowingly collect personal data from children under 13. If we become aware that a child under 13 has registered on or used the Platform, we will immediately delete such account and associated data. Parents or guardians who become aware of such use must contact grievance@giftm.ai immediately.

For Loyalty Programmes, Employee R&R Programmes, or Bank Reward Programmes, participation eligibility is determined by the sponsoring B2B Client and may impose additional age restrictions. Giftm is not responsible for verifying participant age compliance in programmes administered by B2B Clients beyond the baseline Platform age policy.

33. Customised & Personalised Gift Cards

33.1 Content Guidelines

Users and B2B Clients may submit digital artwork, logos, images, text, or other content ("Custom Content") for printing on physical gift cards or for personalising digital gift card designs. By submitting Custom Content, you represent and warrant that: (a) you own all rights in the Custom Content or have obtained all necessary authorisations from the rights holder; (b) the Custom Content does not infringe any copyright, trademark, patent, trade secret, or other intellectual property or proprietary right of any third party; (c) the Custom Content does not contain material that is pornographic, defamatory, obscene, threatening, racially or ethnically objectionable, or otherwise illegal under Indian law.

Giftm expressly reserves the right to reject, remove, or refuse to print any Custom Content that violates these guidelines, applicable law, or Giftm's content standards, at its sole discretion and without prior notice or liability. Giftm will communicate rejection within 1 (one) business day of artwork review.

33.2 IP Licence for Custom Content

By submitting Custom Content, you grant Giftm Technology Private Limited a limited, non-exclusive, royalty-free licence to reproduce, print, and distribute the Custom Content solely for the purpose of fulfilling your Print Order. This licence terminates upon completion of the Print Order. Giftm will not use your Custom Content for any other commercial purpose without your explicit written consent.

33.3 Indemnity for Custom Content

You agree to indemnify, defend, and hold harmless Giftm Technology Private Limited and its directors, officers, employees, and agents from and against all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your Custom Content; (b) your breach of the representations and warranties in Section 33.1; (c) any third-party claim that your Custom Content infringes their intellectual property rights or violates their legal rights.

34. Force Majeure

Giftm shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, government orders, internet or network failures, cyberattacks, pandemic, strikes, or natural disasters. Giftm will endeavour to restore services as soon as reasonably practicable.

35. Modification of Terms

Giftm reserves the right to modify these Terms at any time. Changes will be effective upon posting to www.giftm.in/terms. Continued use of the Platform after any change constitutes acceptance of the revised Terms. Material changes will be notified via email or platform notification.

36. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, India. Courts in Mumbai, Maharashtra shall have exclusive jurisdiction for any ancillary relief, injunctive relief, or enforcement of arbitral awards. Any cause of action arising out of or related to the Platform or these Terms must be commenced within 1 (one) year after the cause of action accrues; otherwise such cause of action is permanently barred. The language of arbitration proceedings shall be English. This Agreement shall be governed by and construed in accordance with the laws of India without reference to conflict of laws principles.

37. Grievance Officer

In accordance with the Information Technology Act, 2000, the IT (Intermediary Guidelines) Rules, 2021, and the Digital Personal Data Protection Act, 2023, the details of the Grievance Officer are:

38. Miscellaneous

  • Severability: If any provision is found invalid, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable commercial agreement, constitute the entire agreement between you and Giftm.
  • Assignment: Giftm may assign its rights and obligations under these Terms without notice. You may not assign your rights without Giftm's prior written consent.
  • Notices: All legal notices to Giftm must be sent to grievance@giftm.ai or to the registered address above. Unsolicited Ideas: Giftm does not accept unsolicited ideas, concepts, or suggestions. Any unsolicited material submitted becomes the property of Giftm without obligation to acknowledge, compensate, or return such material. Feedback submitted through designated platform channels is governed by Section 9 of these Terms.
